Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and OffsetMy AI LLC ("we," "us," or "our") governing your access to and use of OffsetMy.ai and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Description of Services

OffsetMy.ai provides personal carbon footprint estimation and offset services. Our Services include:

• Carbon footprint calculators for personal AI usage
• Subscription-based carbon offset programs
• Access to verified carbon credit retirement through our partners
• Climate Player Card NFTs representing your climate commitment
• Impact dashboards and personal carbon tracking

Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent.

Subscription and Payment

Subscription Plans

We offer various subscription tiers with different features and offset amounts. Details of each plan are available on our pricing page.

Billing

Subscriptions are billed monthly or annually, as selected at checkout. Payment is processed through Stripe, a PCI-compliant payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your dashboard.

Refunds

Due to the nature of carbon offset services (credits are retired immediately upon purchase), we generally do not offer refunds for completed offset purchases. However, we will consider refund requests on a case-by-case basis within 14 days of purchase if no carbon credits have been retired on your behalf.

Carbon Offset Services

How Offsets Work

When you subscribe, we retire verified carbon credits on your behalf through our partner CNaught. These credits represent real carbon reductions or removals from certified projects worldwide.

Carbon Credit Verification

Carbon credits retired on your behalf are sourced through CNaught and verified by independent rating agencies including Sylvera, BeZero, and Calyx Global. While we work with reputable partners, we cannot guarantee the permanence of all carbon sequestration projects, as some factors (natural disasters, policy changes) are beyond our control.

Impact Reporting

We provide estimated carbon footprint calculations and impact metrics. These are estimates based on available data and methodologies, and actual emissions may vary.

Climate Player Cards

Qualifying subscribers receive Climate Player Card NFTs. These digital collectibles:

• Are minted on the Algorand blockchain
• Represent your verified carbon offset commitment
• Display your cumulative climate impact
• May be displayed on social media and personal profiles
• Require active subscription for updates

NFT features and availability may change as we evolve our platform.

Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Misrepresent your carbon offset status
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use the Services to send spam or unsolicited communications
• Scrape, copy, or redistribute our content without permission
• Share your account credentials with others

Intellectual Property

All content, features, and functionality of our Services—including text, graphics, logos, and software—are owned by OffsetMy AI LLC and protected by intellectual property laws.

Climate Player Cards and associated artwork become yours upon minting, but the underlying platform and branding remain our property.

Third-Party Services

Our Services integrate with third-party providers:

• Stripe - Payment processing
• CNaught - Carbon credit sourcing and retirement
• Algorand - NFT minting and blockchain
• Brevo - Email communications

These services have their own terms and privacy policies. We are not responsible for their actions or omissions.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted or error-free
• Carbon footprint calculations are exact or comprehensive
• All carbon offset projects will achieve stated outcomes
• The Services will meet all your specific requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFSETMY AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless OffsetMy AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights

Termination

You may terminate your account at any time by canceling your subscription and contacting us to delete your account.

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Services ceases immediately
• Carbon credits already retired remain retired
• Your Climate Player Card remains on the blockchain but will not receive updates
• We may retain certain data as required by law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Delaware.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
